As a Sole Practitioner, some financial and production instruments I’ve drafted or negotiated include reality show co-production agreements, publishing agreements, credit and security agreements, inter-party agreements, loans, borrowing certificates, bond agreements, secured transactions, promissory notes, disbursement and interest reserve schedules; tranched deferred compensation schedules, mortgage of copyright, private placement memorandums, stock pledge and stock proxy agreements, investor agreements, equity participation schedules, completion guarantys, lab pledgeholder agreements, opinions of counsel, UCC financing statements, and film budgets.

I’ve provided production counsel for wide variety of clients, drafting independent producer agreements, agent agreements, actor contracts, screenwriter agreements, and crew deals. For motion picture clients I typically draft and negotiate acquisition and development agreements, production services subordination agreements, chain-of-title and distribution documents, sales agency agreements, composer agreements, talent and above-the-line employment contracts(Producer, Director, Talent, Day-Player, Casting Director, etc.), guild and union signatory agreements, editor agreements, releases and legal clearances, insurance (E&O, Production, Cast and other risk management issues), licenses (film clip, master recording, sync licenses, etc.), script clearance, etc.

I have extensive experience with intellectual property matters including copyright, trademark, and drafting intellectual property licenses. I handle all aspects of corporate formation including drafting private placement memorandums, articles of incorporation, limited liability companies, bylaws, operating agreements, minutes, non-disclosure and non-circumvention agreements, corporate reorganization agreements, asset-exchange agreements, merger agreements and dissolution matters.

I also have handled web site agreements (national contest rules, web site user agreements, privacy and copyright agreements, on-web talent agreements and click-through licenses), corporate dissolutions, litigation matters (intellectual property, personal injury, real estate) and arbitrations.
